OUR CONSTITUTION
LEVENS LOCAL HISTORY RESEARCH GROUP
CONSTITUTION
The Society shall be known as the Levens Local History Research Group hereinafter ‘the Society’.
The objects of the Society shall be:
to promote and encourage interest in and research into the local history of the parish and village of Levens and it’s surrounding area [Levens]
to arrange events and activities which will cater for the above, including lectures and exhibitions
to publish material based upon the Society’s research
to hold an archive of material and documents
Membership
Membership of the Society shall be open to all persons interested in researching the local history of the settlement and community of Levens
Membership shall be on payment of such subscription as shall be from time to time determined by the body of membership at a General Meeting of the society
The duration of annual membership shall normally commence from the first day of December and end on the last day of November in each year
Management and Meetings
Management of the Society shall be by means of a Committee consisting of the Chairman, Secretary, and Treasurer and one other member.
The officers and committee members of the Society shall be elected annually at the Annual General Meeting to he held on the
A quorum for a General Meeting of the Society shall be at least 40% of the membership (amended at 2016 AGM to at least 12 members)
At least 21 days notice shall be given in writing to members of any General Meeting of the Society.
In the event of a vacancy occurring in the Committee the Committee shall have powers to co-opt a replacement for the remainder of the term of office
The Committee shall have powers to co-opt members onto the Committee for a specified purpose or period.
A quorum for a meeting of the Committee shall be at least 3 of the committee members.
Decisions of the Committee or General Meeting shall be reached by a simple majority of those present and voting. In the event of an equality of votes the chairman of the meeting shall have a casting vote.
Accounts
a) The Treasurer shall keep the accounts of the Society, which shall be independently audited before a statement is presented for approval by the Annual General Meeting of the Society
b) If necessary a bank account shall be opened with the Treasurer together with two other members of the Committee as signatories for that account. Any two of these signatories are necessary to validate any transactions on that account.
Before any transaction via internet/online banking takes place the initiating signatory shall obtain agreement to it from one other signatory who will signify agreement by email to the LLHG email address. (this amendment to Accounts b added at 2024 AGM).
The Constitution may only be altered at an Annual General Meeting or at a Special General Meeting of the Society called for that purpose. Members must be given at least 21 days notice in writing of the proposed alteration and of the meeting at which it will be discussed.
The Society may at any time be dissolved by the consent of the majority of the members voting at a Special General Meeting of the Society held for that purpose, and consequent upon a resolution to dissolve the Society having first been carried by the Committee of the Society. The assets remaining after satisfying all debts and liabilities of the Society shall be disposed of as determined by the Committee in accordance with the aims of the Society but the archive of the Society shall be first offered to the Cumbria County Archive Service at Kendal Record Office
